São Paulo (SP) – Ambipar, a Brazilian multinational and market leader in environmental management, has acquired 100% of CTA Meio Ambiente through its subsidiary Ambipar Response. Founded in 1993 in the state of Espírito Santo, CTA Meio Ambiente is a company specialized in environmental services, focusing on Emergency Readiness and Response for the preservation and protection of flora and fauna in case of environmental accidents. It reported a revenue of R$ 27 million and an EBITDA of R$ 7 million in the last year.

With a highly extensive service network, CTA Meio Ambiente has 21 operational bases in the states of Rio de Janeiro, Espírito Santo, and Bahia. Its interdisciplinary team consists of over 150 professionals, including engineers, biologists, veterinarians, oceanographers, occupational health and safety experts, quality management experts, administrators, communication staff, among others.

“At this moment, CTA Meio Ambiente becomes Ambipar Response Fauna e Flora Ltda, which now benefits from Ambipar’s strategic management and access to its structure to drive its growth in the market of environmental emergency response, focusing on readiness and emergencies involving impacts on fauna and flora. It will become the platform for growth in this segment,” explains Thiago da Costa Silva, CFO of Ambipar.

For Ambipar, this acquisition is strategic and has synergies with its current operations in Brazil, Latin America, North America, and Europe, contributing to portfolio enhancement in the following ways:

(i) It provides access to the environmental emergency market for the protection and restoration of flora and rehabilitation of fauna, strengthening Ambipar’s emergency response operational structure with Rehabilitation Centers for fauna contaminated by pollutant products, technical support in unified emergency command centers, and support for planning, development, and participation in simulated environmental emergency exercises.

(ii) It expands the service portfolio in fauna and flora consulting, including the development of Fauna Protection Plans (PPAF), complementing the existing environmental monitoring services.

(iii) It creates cross-selling opportunities within its current client portfolio.

The company clarifies that this acquisition will not require approval from its shareholders nor will it trigger any right of withdrawal since it was carried out through its privately held subsidiary, and the price paid for the acquisition does not exceed one and a half times the highest of the three values provided for in article 256, II of Law no. 6,404/76.
