Ambipar announced on Thursday, July 7, the acquisition of 100% of CTA Serviços em Meio Ambiente through its subsidiary Ambipar Response. The transaction value was not disclosed. With this latest deal, the company now has a total of 34 acquisitions since its initial public offering (IPO) in 2020.

CTA was founded in 1993 in Espírito Santo and specializes in environmental services, with its main area of expertise being emergency readiness and response focused on the preservation and protection of flora, as well as the rehabilitation of fauna in the event of environmental accidents. The company’s revenue in the last year was R$ 27 million, with an EBITDA of R$ 7 million.

“The acquisition aligns with Ambipar’s strategy of geographic expansion and the addition of services to our portfolio, further verticalizing our businesses,” said Thiago Silva, the group’s CFO.

According to Ambipar, CTA has a highly accessible service network with 21 operational bases in the states of Rio de Janeiro, Espírito Santo, and Bahia. It has an interdisciplinary team of over 150 employees consisting of engineers, biologists, veterinarians, oceanographers, occupational safety experts, quality management personnel, administrators, communications team, among others.

Fabrício Fonseca, the head of Ambipar Espírito Santo, clarifies that the company used to outsource services related to decontamination of fauna in cases of oil accidents and will now be able to enhance its response capabilities for such emergencies in Brazil and Latin America. “The next step is to provide this type of assistance in the United States, Canada, and Europe,” he says.

CTA will now operate as Ambipar Response Fauna e Flora, gaining access to the entire group’s structure to drive its growth in the environmental emergency response market, focusing on readiness and emergencies involving impacts on fauna and flora.

Ambipar emphasizes that this acquisition is strategic and synergistic with its current operations in Brazil, Latin America, North America, and Europe. It allows access to the environmental emergency market for the protection and restoration of flora, as well as the rehabilitation of fauna, “strengthening Ambipar’s structure with rehabilitation centers for wildlife contaminated by polluting substances, technical support in unified emergency command centers, and participation in the planning, development, and execution of simulated environmental emergencies.”

The group also highlights that the acquisition creates cross-selling opportunities in its current client portfolio.

According to the company, the acquisition does not require approval from its shareholders, nor does it give rise to any withdrawal rights, as it was carried out through its privately held subsidiary, and the price paid for the acquisition does not exceed one and a half times the highest of the three values provided for in article 256, II of Law No. 6.404/76.
